Terms of Sale

- These Terms of Sale govern every order placed with Supplier. Any terms or conditions contained in Buyer's purchase order or other documents are expressly rejected and shall have no force or effect unless expressly accepted in writing by Supplier. Placement of an order constitutes Buyer's acceptance of these Terms of Sale.
- All sales are final. Orders are non-cancelable, non-returnable, non-refundable, and non-exchangeable. Carefully check products on your shopping cart, prior of committing to order them.
- Shipments to India are only sent by freight collect on Customer's FedEx or UPS account.
- At our discretion, prepaid international shipments are sent via USPS or UPS.
- Export Compliance: Buyer acknowledges that products sold by Supplier may be subject to the export control laws and regulations of the United States, including the Export Administration Regulations (EAR), sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), and other applicable laws. Buyer is solely responsible for complying with all applicable export, import, sanctions, and customs laws and regulations. Buyer agrees not to export, re-export, transfer, or resell any product in violation of applicable law and is solely responsible for obtaining any required export licenses, permits, or governmental approvals. Supplier will not sell or ship products where prohibited by U.S. law.
- The US Department of Commerce has a list of export restrictions that can be seen by clicking HERE. Check it before placing your order.
- Orders received between Saturday 12:00 AM and Friday 5:00 PM Eastern Time are normally shipped on the following Saturday and subject holidays.
- Supplier does not provide engineering services, product integration assistance, application support, design review, software development, schematics, electronic diagrams, firmware or technical consulting.
- The information published on each product webpage constitutes the complete product information available for that product. Supplier is under no obligation to provide additional specifications or documentation.
- Supplier does not represent, warrant, or certify that the products comply with any particular regulatory or industry standard. Products are not certified, tested, approved, or qualified under any industry or regulatory standard, and Supplier does not provide certifications, declarations, reports, or compliance documentation, including but not limited to CE, UL, RoHS, REACH, TSCA, Proposition 65, ISO, SDS/MSDS, CMRT, Conflict Minerals, Full Material Disclosure (FMD), Certificate of Origin (COO), Certificate of Conformance (COC), USP Class VI, Environmental Compliance declarations, or similar documents.
- Buyer is solely responsible for determining the safe handling, storage, transportation, and use of all products. Buyer should obtain and review any applicable Safety Data Sheets (SDS/MSDS) before handling any product.
- Buyer is solely responsible for all import duties, customs fees, VAT, GST, taxes, brokerage fees, and other governmental charges imposed by the destination country.
- We do not ship any product's documentation along with the product (including packing list). The invoice is sent by email to buyer when the order is placed.
- Product specifications are subject to change without notice.
- All products are sold "AS IS" and "WITH ALL FAULTS." Supplier disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Where a product expressly includes a serial number, removal or alteration of the serial number immediately voids its 1 year warranty from date of sale.
- We do not accept pickup or will-call for orders. Freight collect orders are delivered to couriers only (FedEx, UPS and DHL).
- Supplier shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of business, or business interruption, arising out of the purchase or use of any product.
- Supplier's total cumulative liability arising from any order shall not exceed the amount paid by Buyer for the specific product giving rise to the claim.
- Supplier shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, labor disputes, shortages of materials, transportation delays, utility failures, cyber attacks, governmental actions, embargoes, war, terrorism, civil unrest, or other events beyond Supplier's reasonable control. Delivery schedules shall be extended for the duration of such events without liability to Supplier.
- These Terms constitute the entire agreement between Supplier and Buyer concerning the purchase of products and supersede all prior oral or written communications.
- Failure by Supplier to enforce any provision shall not constitute a waiver of that provision.
- Buyer may not assign any rights or obligations without Supplier's prior written consent.
- Intellectual Property. The purchase of products does not transfer any ownership or license rights under any patent, copyright, trademark, trade secret, or other intellectual property. All intellectual property rights remain the exclusive property of their respective owners or licensors.
- Buyer shall comply with all applicable federal, state, local, and international laws relating to the purchase, importation, exportation, resale, and use of the products.
- Supplier reserves the right to correct typographical errors, pricing errors, inventory errors, or technical inaccuracies at any time without prior notice.
- Product Suitability. Buyer is solely responsible for determining whether any product purchased from Supplier is suitable for Buyer's intended application. Supplier does not evaluate or guarantee the suitability, performance, safety, reliability, or regulatory compliance of any product in Buyer's specific design, assembly, equipment, or end product.
Buyer assumes all responsibility for product selection, engineering design, testing, validation, qualification, certification, installation, operation, maintenance, and compliance with all applicable laws, regulations, and industry standards. Supplier recommends that Buyer thoroughly test and validate all products under actual operating conditions before production use.
- Supplier does not review, approve, certify, or validate Buyer's product designs, manufacturing processes, or end-use applications. The purchase of any product shall not be interpreted as Supplier's approval of Buyer's design or intended use.
- Buyer is solely responsible for ensuring that any products purchased from Supplier comply with all applicable federal, state, local, and international laws, regulations, standards, certifications, and industry requirements applicable to Buyer's intended use.
- Supplier's products are sold as industrial components and are not intended to function as complete systems or finished consumer products unless expressly stated otherwise.
- High-Risk Applications. Unless expressly agreed to in writing by Supplier, products shall not be used in life-support systems, implantable medical devices, nuclear facilities, military weapons systems, aircraft flight-control systems, aerospace systems or any application where product failure could result in death, personal injury, or significant property damage. Buyer assumes all risks associated with any such use.
- Buyer shall perform all testing, validation, qualification, and reliability evaluations necessary to determine whether the products are suitable for Buyer's intended application before placing the products into production or commercial use.
- These Terms of Sale and any order placed with Supplier shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles.
- Buyer shall comply with all applicable federal, state, local, and international laws, regulations, standards, certifications, import requirements, export restrictions, and industry requirements relating to the purchase, importation, exportation, resale, and use of the products.
- Supplier reserves the right to refuse, reject, or cancel any order, in whole or in part, at its sole discretion, including but not limited to pricing errors, inventory shortages, export restrictions, suspected fraud, payment issues, or violations of these Terms of Sale.
- If any provision of these Terms of Sale is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- These Terms of Sale are intended solely for the benefit of Supplier and Buyer and shall not confer any rights or remedies upon any third party.
- Any dispute, claim, or legal proceeding arising out of or relating to these Terms of Sale or any order shall be brought exclusively in the state courts located in Orange County, Florida, or the United States District Court having jurisdiction over Orange County, Florida. Buyer and Supplier irrevocably consent to the exclusive jurisdiction and venue of such courts.
EACH PARTY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OF SALE OR ANY ORDER.
The prevailing party in any legal action or proceeding shall be entitled to recover its reasonable attorneys' fees, court costs, and litigation expenses from the non-prevailing party.
- Placing an order through the website constitutes an electronic signature and acceptance of these Terms of Sale.
